JetPlugins Themes & Plugins - End-user licence agreement (EULA)

This End-User Licence Agreement ("EULA") is a legal agreement between JetPlugins ("Publisher", "we", "us", "our") and you, either an individual or a single legal entity ("you", "your"), governing your use of any JetPlugins theme or plugin distributed via the JetBrains Marketplace (each, a "Product").

Installing, copying, or using a Product indicates your acceptance of this EULA. If you do not agree, do not install or use the Product.

1. Definitions

"IDE" - a JetBrains-branded Integrated Development Environment (for example IntelliJ IDEA or WebStorm) in which a Product operates.
"Marketplace" - the JetBrains Marketplace operated by JetBrains s.r.o.
"Product" - any JetPlugins theme or plugin made available by the Publisher through the Marketplace.
"Subscription" - a time-limited right to use a Product obtained via the Marketplace.
"Licence Key" - a technical means issued by JetBrains that activates a Product for the Subscription term.
"Evaluation Period" - a free trial period starting on first activation during which you may use a Product without payment, if offered for that Product.

2. Grant of licence

Evaluation licence. During the Evaluation Period we grant you a non-exclusive, non-transferable, revocable licence to install and use the Product solely for evaluation.
Paid licence. Upon purchase, and subject to payment of applicable fees via the Marketplace, we grant you a non-exclusive, non-transferable, revocable licence to:
- install and use the Product on any number of machines, provided that only one copy is in active use per purchased user seat; and
- receive and install Updates released during your active Subscription.
Licence scope. Each Product is licensed, not sold. All rights not expressly granted are reserved by the Publisher.

3. Restrictions

You must not:

share, sublicense, sell, lease, rent, or lend a Product or Licence Key;
reverse-engineer, decompile, disassemble, or otherwise attempt to discover a Product's source code, except to the extent permitted by law;
modify or create derivative works of a Product, excluding configuration, styling, or template options explicitly intended for user customization; or
remove or obscure any proprietary notices contained in a Product.

4. Ownership

Each Product, including associated assets and all intellectual property rights, is and remains the sole property of the Publisher and its licensors. Open-source components, if any, remain subject to their respective licences.

5. Delivery, activation, and updates

Delivery. Products are delivered electronically via the Marketplace.
Activation. A valid JetBrains account and, where applicable, a Licence Key are required. Your IDE may periodically verify Subscription status with JetBrains servers.
Updates. Updates may add, change, or remove features. Installing an Update constitutes acceptance of its accompanying terms.

6. Support

During an active Subscription we provide reasonable email support via support@jetplugins.dev. Response targets, not guarantees, are seven business days, Australian Eastern Time.

7. Privacy

A Product does not transmit your source code outside your machine. The Product itself does not collect telemetry beyond what is collected by the IDE or the JetBrains Marketplace for installation and licensing.

8. Warranty disclaimer

To the maximum extent permitted by applicable law, each Product is provided "as is" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. You bear the entire risk as to the Product's quality and performance.

9. Limitation of liability

In no event will the Publisher, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, data, or goodwill, arising from your use of or inability to use a Product, even if advised of the possibility. Our aggregate liability under this EULA will not exceed the fees actually paid by you for the applicable Product Subscription during the twelve months preceding the claim.

10. Term and termination

This EULA remains in effect for as long as you have a valid evaluation or paid licence for a Product, unless terminated earlier.
JetBrains may terminate your Subscription for non-payment under the JetBrains Marketplace Terms of Use.
Upon termination you must stop using and uninstall the affected Product. Sections 4, 8, 9, 11, 12, and 13 survive termination.

11. Export and sanctions compliance

You must comply with all applicable export laws and regulations. You warrant that you are not located in, or a national of, any country subject to comprehensive sanctions, and that you are not listed on any restricted-party list.

12. Governing law and venue

This EULA is governed by the laws of New South Wales, Australia, excluding its conflicts-of-law rules. Any dispute shall be submitted to the non-exclusive jurisdiction of the courts sitting in Sydney. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Applicability and entire agreement

This EULA applies to each JetPlugins theme or plugin unless a specific product page or written agreement states otherwise. Together with the JetBrains Marketplace Paid Plugin Agreement and any written amendments agreed by the parties, it constitutes the entire agreement between you and the Publisher regarding the relevant Product, superseding all prior understandings.
