Tokyo Night theme – End-user licence agreement (EULA)

Thank you for choosing Tokyo Night theme ("Plugin").

This End-User Licence Agreement ("EULA") is a legal agreement between the Tokyo Night theme developers ("Publisher", "we", "us", "our") and you, either an individual or a single legal entity ("you", "your"), governing your use of the Plugin distributed via the JetBrains Marketplace.

Installing, copying, or using the Plugin indicates your acceptance of this EULA. If you do not agree, do not install or use the Plugin.

1. Definitions

"IDE" – a JetBrains-branded Integrated Development Environment (e.g. IntelliJ IDEA, PhpStorm) in which the Plugin operates.
"Marketplace" – the JetBrains Marketplace operated by JetBrains s.r.o.

2. Grant of licence

Free licence. We grant you a non-exclusive, non-transferable, revocable licence to install and use the Plugin free of charge for any lawful purpose, including personal and commercial use.
Licence scope. The Plugin is licensed, not sold. All rights not expressly granted are reserved by the Publisher.

3. Restrictions

You must not:

sell, lease, rent, or sublicense the Plugin;
reverse-engineer, decompile, disassemble, or otherwise attempt to discover the Plugin's source code, except to the extent permitted by law;
modify or create derivative works of the Plugin (excluding configuration files explicitly intended for modification);
remove or obscure any proprietary notices contained in the Plugin.

4. Ownership

The Plugin, including all intellectual property rights, is and remains the sole property of the Publisher and its licensors. The Plugin is based on the Tokyo Night VS Code theme by Enkia. Open-source components, if any, remain subject to their respective licences.

5. Delivery and updates

Delivery. The Plugin is delivered electronically via the Marketplace.
Updates. Updates may add, change, or remove features. Installing an Update constitutes acceptance of its accompanying terms.

6. Support

We provide reasonable email support via support@jetplugins.dev. Response targets (not guarantees) are seven business days, Australian Eastern Time.

7. Privacy

The Plugin does not collect or transmit any personal data. The plugin itself does not collect any telemetry data beyond what is collected by the IDE.

8. Warranty disclaimer

To the maximum extent permitted by applicable law, the Plugin is provided "as is" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. You bear the entire risk as to the Plugin's quality and performance.

9. Limitation of liability

In no event will the Publisher, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Plugin, even if advised of the possibility.

10. Term and termination

This EULA remains in effect for as long as you have the Plugin installed, unless terminated earlier.
You may terminate this EULA at any time by uninstalling the Plugin.
Upon termination you must stop using and uninstall the Plugin. Sections 4, 8, 9, 11, and 12 survive termination.

11. Export and sanctions compliance

You must comply with all applicable export laws and regulations. You warrant that you are not located in, or a national of, any country subject to comprehensive sanctions, nor listed on any restricted-party list.

12. Governing law and venue

This EULA is governed by the laws of New South Wales, Australia, excluding its conflicts-of-law rules. Any dispute shall be submitted to the non-exclusive jurisdiction of the courts sitting in Sydney. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

13. Entire agreement

This EULA constitutes the entire agreement between you and the Publisher regarding the Plugin, superseding all prior understandings.
